dear friend. when i started this project as a brand and business i wanted it to do things differently from the corporate environments i had worked in for decades. i wanted to create a true, authentic, original, positive and human brand that talks to its customers as friends among each other.

not as a big brand talking down on you, or referring to cliches like 'it's all about winning' or 'space age technology'.

but please don't misunderstand me; the products we make are performance driven, built from our high end modular components. we can efficiently build new product solutions for the performance needs of our customers.

we make unisex shoes. we don’t do seasons and so avoid the high risk of over production and waste. you can resole our shoes with spare outsoles. we ship our shoes in the original shoebox with a goal to reduce materials, especially plastics.

we have many ideas about how we want to further work towards modularity in design and production so we reduce waste and improve the quality and lifespan of our products. we also dream about building custom products assembled in our own atelier (but that’s for later).

while working on the creation of 4T2, i realised our customers are people like myself. the ones who are not impressed by big brand blabla. the ones who are not shopping for the cheapest deals, or just jumping on the latest trends.

our customers are creative people, independent thinkers, entrepreneurs, designers, architects, musicians, marketeers, people in hospitality and events; people who love to create beautiful experiences and products.

early on we received inquiries from our customers about the opportunity to invest. we did not have a plan against it and did not know how to manage. we also received inquiries and even very specific investment offers from funds which we eventually turned down.

we realized that our customers and friends are our biggest supporters and among them there are quite a few who would love to become investors with a longterm vision of building a beautiful brand, product and business.

there is another important reason why we chose this path; in the spirit of 4T2, it makes total sense to open up for smaller investments from individuals, people who do not get the chance to join an investment fund, because they are not among the wealthiest in this world.

so we feel very good about giving our customers and friends a chance to be in the front row seats. to become the first ones.

so we researched how we could facilitate investments from a larger number of people who share the passion for running, great products and doing things different. we found a solution by using a share funding platform that will accept investments from people all over the world.

you can buy certificates that represent the economical rights (profit / value creation) to the shares which are placed in our trust fund. the voting rights of those shares will be represented by our founder so we ensure the vision for 4T2 stays clear and focused.

the certificates can be traded among certificat holders, we will most likely set up one trading period per year. the trading price of certificates will be defined by the company.

in this first round of share funding, we aim to raise at least €1m against an equity stake of 10.6%. the minimum ticket price will be €5k. in the years before making profit, you will be compensated with products, exclusively produced for participants.

we are already prepared to do another funding round of the same size. we anticipate this round to be anywhere within the next 2 years.

as you may know, to build a running shoe business is hard, for most impossible. this is because of the complexity of the design, development and production. the amount of knowledge and expertise needed is very high and the initial investments are high.

fortunately we already have been selling shoes for more than 2.5 years. so we have proven our concept and execution on a global scale. we double our business every year and plan to do so in the coming years.

for the years 2025 and 2026 we do not expect to turn in profits yet. as we scale, we carefully wage investment versus return, we have done so from the early days. we've been spending our money wisely, not with guns blazing but more the dutch way; controlled spending. with your investment we will continue to do the same.

while not making profit, we'll compensate you as investors with exclusive and unique products which obviously will become collectibles (we do prefer you wear them and promote 4T2).

we're super excited about offering the investment opportunity to you and contrary to most other brands in this industry, through your investment, we'll be powered by global running culture.

through this way of funding and its digital setup, people from all over the world are able to become part of what we are creating.

longterm we will be able to offer beta services / custom products to you first, before launching to the bigger public. we'll be on this journey together.

we have quite some interested friends and customers but we do want to be fair to all. so participations will be accepted on a 'first come, first serve base.' we will keep the investment opportunity open until we have reached sufficient investment. we accept investments from €5k and upward.

who can invest?

you can invest as a private person, from allover the world. we will prioritize those people who are customers, friends, supporters and we will not judge or prioritize by investment amount.

how do i invest?

you simply follow the link to the share council platform, make the payment and you will receive the legal documents that give you the ownership of the certificates.

what is the difference between certificates and shares? why am i buying certificates and not shares?

good question. you are buying certificates at a one-on-one ratio with the related shares. the certificates give you the economical right of ownership of the value of the shares and the potential dividend.

the shares are being held by the trust fund which is headed up by our founder, jurian. this way, we are securing that the actual voting rights of those shares are staying within the founder's control and this way we can secure the mission of 4T2. there are some other reasons why certificates work better with bigger groups of investors; we can organise the trading periods and we reduce the amount of cost, paperwork and regulatory limits, especially from accepting international investors. simply speaking; certificates work better for all parties involved.

how long is my investment locked, when can i sell or buy more certificates?

4T2 will organise trading periods in which you can buy and sell certificates among each other. we expect the first trading period to be at least one year after the closing of the first funding round.

who defines the price of certificates that can be bought and sold?

4T2 defines the certificate price (equal to the share price and company valuation.

how can i buy and sell?

you will be able to buy and sell through the sharecouncil online platfrom.

what are you going to do with my money?

we will be focusing on 3 areas.

we will further develop our modular component system to create more relevant products for our customers.

we will strengthen the team to take our operations, customer service and services to the next level.
